Terms of Service

By accessing or using Qualow, you agree to be bound by these Terms of Service. If you do not agree, do not use our platform.

1. Overview

These Terms of Service (“Terms”) govern your access to and use of the Qualow platform, website, and all related services (collectively, the “Service”) operated by Qualow (“we,” “us,” or “our”), based in Edmonton, Alberta, Canada.

These Terms constitute a legally binding agreement between you (“you,” “your,” or “User”) and Qualow. Our Privacy Policy is incorporated into these Terms by reference.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use Qualow. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using Qualow on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and the entity.

3. Account Registration

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at founderqualow@gmail.com if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

4. Description of Services

Qualow is a B2B SaaS platform that helps automation freelancers discover potential clients by aggregating publicly available business information (such as job postings indicating administrative pain points) and surfacing them as qualified leads.

The Service may include lead discovery and filtering tools, lead enrichment and contact information, dashboards and analytics, email outreach tools, and any additional features we introduce over time.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

5. Acceptable Use

You agree to use Qualow only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to:

  • Use the Service to send unsolicited spam or violate anti-spam laws (including CAN-SPAM, CASL, and GDPR).
  • Scrape, resell, redistribute, or sublicense lead data obtained through Qualow without our written permission.
  • Attempt to gain unauthorized access to our systems, networks, or other users’ accounts.
  • Use the Service to harass, abuse, or harm any individual or business.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Misrepresent your identity or affiliation when contacting leads sourced through Qualow.
  • Use bots, scripts, or automation to interact with the Service in ways not explicitly supported by us.
Anti-Spam Notice: You are solely responsible for ensuring that any outreach you conduct using leads from Qualow complies with all applicable email marketing and anti-spam laws in both your jurisdiction and the recipient’s jurisdiction.

6. Lead Data & Accuracy

Qualow aggregates publicly available business information to generate leads. While we take reasonable steps to ensure lead quality, we make no guarantees regarding the accuracy, completeness, or timeliness of any lead data.

Lead data may include publicly listed business names, job posting details, inferred contact information, and publicly available company information. You acknowledge that lead data is provided “as is” and that you are responsible for verifying any information before acting on it. Qualow is not liable for any decisions you make based on lead data.

7. Intellectual Property

All content, code, design, trademarks, logos, and other materials associated with Qualow (excluding user-generated content and publicly sourced lead data) are owned by Qualow and protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Payment & Billing

Certain features of Qualow may require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

Billing cycle: Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan) unless cancelled before the next billing date.

Refunds: Unless otherwise required by applicable law, all fees are non-refundable. If you believe you have been billed in error, contact us within 14 days of the charge.

Price changes: We may change our pricing with at least 30 days’ advance notice. Continued use after a price change constitutes acceptance of the new pricing.

Taxes: You are responsible for any applicable taxes (including VAT, GST, and sales tax) unless we explicitly state that pricing is tax-inclusive.

9. Termination & Suspension

By you: You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in activity that harms our platform or other users, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, QUALOW DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF LEAD DATA.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUALOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Qualow, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or any outreach, communications, or actions you take based on lead data obtained through the Service.

13. Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If we cannot resolve a dispute within 30 days of receiving your written notice, either party may pursue formal resolution.

Arbitration: Any dispute arising from these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the ADR Institute of Canada, conducted in Edmonton, Alberta. The arbitration shall be conducted in English.

Class action waiver: To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. To the extent litigation is permitted, exclusive jurisdiction and venue lie in the courts of Alberta, Canada.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website with a revised “Last Updated” date, and, where appropriate, by sending you an email or in-app notification at least 15 days before changes take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.
